Partner Offer (Agency Agreement)

CRYPTOMATION, LDA (NIF: 517427109, NISS: 25174271092, Barcelos, Avenida da Cal, lote 125 1A. 4750-787, Portugal), hereinafter referred to as Principal (Directual), hereby publishes this document as a public offer to enter into an agency agreement (partnership program) in accordance with applicable Portuguese law.

Any person or legal entity registered in the Principal’s partnership program and having accepted the terms of this offer (hereinafter referred to as the Agent) shall be deemed to have entered into an agency agreement with the Principal under the conditions set forth below.

Subject of the Agreement

The Principal entrusts, and the Agent undertakes, to attract clients (hereinafter — Clients) to use the Directual online platform.

The Agent acts in its own name but in the interest and at the expense of the Principal.

The Principal undertakes to pay the Agent remuneration in the manner and amount provided for in this Offer.

Acceptance of the Offer

Acceptance of this Offer shall be deemed the registration of a person in the Principal’s partnership program through the website my.directual.com or in any other way provided by the Principal.

From the moment of acceptance, this Offer shall have the force of a concluded agency agreement.

Rights and Obligations of the Parties

The Agent undertakes to:

• attract Clients to use the Directual platform;
• use the tools provided by the Principal (partner links, identifiers, etc.);
• provide Clients with accurate information.

The Principal undertakes to:

• record Clients attracted by the Agent using partner identifiers;
• keep records of payments made by such Clients;
• pay remuneration to the Agent in the manner established by this Offer.

Remuneration

The amount of remuneration shall be up to 50% of the actual payments received by the Principal from Clients attracted by the Agent. The exact amount of remuneration depends on the Agent’s level in the partnership program, the type of product (license) purchased by the Client, and may also be determined by the Principal at its sole discretion.

Remuneration shall be paid monthly, no later than the 20th day of the month following the reporting month, on the basis of the Principal’s report, or otherwise at the discretion of the Principal.

Remuneration is paid without taking into account taxes, which the Agent is obliged to pay independently in accordance with applicable legislation of Portugal.

The minimum payout amount is the equivalent of 50,000 (fifty thousand) rubles in euros at the exchange rate of the Central Bank of the Russian Federation (for consistency with the original program). If the accrued remuneration is less than this amount, it shall be carried over to the next settlement period.

Liability of the Parties

The Parties shall be liable in accordance with Portuguese law.

The Agent is responsible for the accuracy of the information provided and for refraining from unfair advertising.

The Principal shall not be liable for any losses incurred by the Agent as a result of actions/inactions of Clients.

Term and Termination

This Agreement shall be deemed concluded from the moment of acceptance of the Offer and shall remain in force for an indefinite period.

Either Party may terminate the Agreement by notifying the other Party 30 calendar days in advance.

Final Provisions

The Principal may amend the terms of this Offer unilaterally by publishing a new version on the website directual.com. Changes shall take effect from the moment of publication.

All relations not regulated by this Offer shall be governed by the legislation of Portugal.

Disputes shall be subject to consideration in the competent courts of Portugal.
